1. Acceptance of Terms

By accessing or using any product, application, or service operated by Veritaport Limited ("we," "our," or "us") — including VeriGo and CivicOS (collectively, the "Services") — you agree to be bound by these Terms and Conditions ("Terms").
If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Veritaport Limited regarding your access to and use of the Services.

2. Description of Services

2.1 VeriGo

VeriGo is a gamified navigation and eco-mobility platform designed to help users make environmentally conscious travel decisions across urban environments. Core features include:

  • AI-powered route recommendations and real-time mobility insights
  • Eco-impact scoring (carbon footprint, distance, travel mode comparison)
  • Gamified progress tracking, challenges, and community rankings
  • Integration with public transport, cycling, and walking data
  • Optional rewards and partner integrations

2.2 CivicOS

CivicOS is an AI-driven civic analytics platform built for local councils, city planners, and transport authorities. It processes data from VivaCity Labs sensors and other urban feeds to deliver:

  • Real-time traffic and pedestrian flow analysis
  • Safety and congestion metrics (CVI, RR, AIS, etc.)
  • Custom dashboards and performance reports
  • Automated alerts for anomalies and incident detection
  • Secure API integration with existing data infrastructure

2.3 General Availability

Features may vary based on your plan, region, or organizational agreement.
We reserve the right to modify or discontinue any part of the Services at any time with reasonable notice.

3. Subscription, Access, and Billing

3.1 Plans and Licensing

  • VeriGo: Free and premium tiers available for individual users.
  • CivicOS: Enterprise or institutional licenses, governed by separate contracts.
  • Custom deployments may include on-premise or cloud-based installations.

3.2 Billing and Payment

  • Payment terms are defined at the time of subscription or contract signing.
  • Enterprise clients may be invoiced monthly, quarterly, or annually.
  • Prices are subject to revision with at least 30 days' notice.
  • Except as stated in a specific Service Agreement, all fees are non-refundable.

3.3 Cancellation and Termination

  • You may cancel a subscription anytime via your account or by contacting support.
  • Cancellation halts future billing but access continues until the current period ends.
  • We may suspend or terminate access for violations of these Terms or applicable law.

4. User Accounts and Responsibilities

4.1 Eligibility

  • You must be at least 16 years old to use VeriGo, or have parental consent.
  • Institutional access to CivicOS is limited to authorized representatives.

4.2 Account Security

You are responsible for safeguarding your login credentials. Notify us immediately if you suspect unauthorized access.
We recommend strong passwords and two-factor authentication where supported.

4.3 Prohibited Activities

You agree not to:

  • Use the Services for unlawful or malicious purposes
  • Access or attempt to access systems without authorization
  • Reverse-engineer, copy, or resell the software
  • Upload false, misleading, or harmful data
  • Interfere with other users or service operations

5. Data Ownership, Privacy, and Security

5.1 Data Ownership

  • You retain ownership of personal and institutional data uploaded through the Services.
  • By using our platforms, you grant Veritaport Limited a limited license to process this data for operational and analytical purposes consistent with the Services’ functionality.

5.2 Data Processing

We adhere to GDPR and other applicable data-protection laws.

  • Data from CivicOS sensors is aggregated and anonymized before analysis.
  • Personal data collected via VeriGo (e.g., travel history, preferences) is processed solely to enhance user experience.
  • We do not sell or rent user data.

5.3 Data Retention

  • User account data: retained for the duration of your account
  • System logs and analytics: retained up to 12 months (aggregated)
  • Contractual and billing data: retained 7 years per legal requirement

6. Intellectual Property

6.1 Our Rights

All intellectual property in the Services — including algorithms, UI design, branding, and documentation — remains the exclusive property of Veritaport Limited.

6.2 Your Rights

You may use the Services in accordance with these Terms for personal, educational, or authorized business purposes.
Any feedback, suggestions, or feature ideas you submit may be used by us to improve our products without obligation or compensation.

7. Service Availability and Support

7.1 Uptime Commitment

We aim for 99.9 % uptime excluding scheduled maintenance or force-majeure events.
Maintenance windows will be communicated in advance wherever feasible.

7.2 Support Channels

  • Email and chat support for VeriGo users
  • Dedicated technical support and SLAs for CivicOS clients
  • Documentation, onboarding, and training materials available via our Help Center

8. Limitation of Liability

To the fullest extent permitted by law:

  • Veritaport Limited is not liable for indirect, incidental, or consequential damages.
  • Total liability for any claim shall not exceed fees paid in the 12 months preceding the claim.
  • We are not responsible for network failures, third-party API downtime, or data loss due to user error.

These limitations apply even if we have been advised of potential damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless Veritaport Limited, its directors, and affiliates from claims, liabilities, or expenses arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable law
  • Content or data submitted through your account

10. Dispute Resolution and Governing Law

10.1 Informal Resolution

We encourage resolving issues directly via our support channels.
We will respond within 2 business days and make every effort to resolve concerns in good faith.

10.2 Governing Law

These Terms are governed by the laws of England and Wales.
You agree to submit to the exclusive jurisdiction of courts located in the United Kingdom.

11. Modifications to Terms

We may update these Terms periodically:

  • Material updates will be communicated at least 30 days before taking effect.
  • Continued use after changes constitutes acceptance of the new Terms.
    If you disagree with material changes, you may terminate your account before the new Terms apply.

12. Miscellaneous

  • Severability: If any provision is found unenforceable, the remainder shall remain valid.
  • Entire Agreement: These Terms and our Privacy Policy constitute the full agreement between you and Veritaport Limited.
  • Waiver: Our failure to enforce a right does not constitute a waiver of that right.
  • Assignment: You may not assign or transfer rights under these Terms without our written consent.
